ARTICLES OF ORGANIZATION
(General Laws, Chapter 180)
ARTICLE I
The exact name of the corporation is:

ARTICLE II
The purpose of the corporation is to engage in the following activities:
We wish to establish a nonprofit organization to help Chinese immigrants, especially but not exclusively Chinese students studying at American universities.
A Chinese student at Brandeis University committed suicide (see obituary); a Chinese woman was arrested at a mall for attempting to buy four cell phones; a Chinese man was sent to prison for 32 years after he murdered a fellow doctor following an apparently minor dispute in the workplace. Such stories represent the experiences of Chinese immigrants who are unable to negotiate life in America, often because of language or cultural barriers, and sometimes with dire consequences.
The proposed nonprofit organization would assist immigrants by offering them direct counseling with a Chinese-speaking immigrant, or by referring them to a Chinese-speaking social worker or other professional. The assistance in finding help would be offered free of charge.
To engage in any other activity described in Section 4(e) of Chapter One Hundred Eighty of the General Laws, provided: (1) The Corporation's purposes shall be so interpreted as to be consistent with Section 501(c)(3) of the United States Internal Revenue Code (and successor provisions), no part of its net earnings, if any, shall inure to the benefit of any private shareholder or individual, and the Corporation shall not participate or intervene (by publishing or distributing statements or otherwise) in any political campaign on behalf of any candidate for public office; (2) Except to the extent permitted by said Section 501(c)(3) as amended from time to time, no substantial part of the Corporation's activities shall consist of carrying on propaganda or otherwise attempting to influence legislation.
The proposed nonprofit organization would recognize that Chinese immigrants often find themselves isolated in their efforts to deal with problems whether in a university setting or in the workplace. Students in America are often reluctant to turn to parents or friends back home because families make such large sacrifices to send their children to America to study. Shame attaches to failure, along with financial hardship. Parents sometimes sell their homes to provide an American education for their children. The colleges and universities to which the young people go are often unable to help students. Advice appropriate to American students is often not appropriate to Chinese students; going home and taking a semester off is not an option for students whose parents have sacrificed so much to send them to college. Students are often unable to find assistance that is appropriate to their background. They often do not know what assistance is available. They can become depressed and in danger of taking their own lives.
ARTICLE III
A corporation may have one or more classes of members. If it does, the designation of such classes, the manner of election or appointments, the duration of membership and the qualification and rights, including voting rights, of the members of each class, may be set forth in the by-laws of the corporation or may be set forth below:
All provisions with respect to members are set forth in the Bylaws of the corporation.
The membership of the corporation shall consist of the members of the Board of Directors. (This organization does not intend to have public members at this stage.)
ARTICLE IV
**Other lawful provisions, if any, for the conduct and regulation of the business and affairs of the corporation, for its voluntary dissolution, or for limiting, defining, or regulating the powers of the corporation, or of its directors or members, or of any class of members, are as follows:

ARTICLE V
The by-laws of the corporation have been duly adopted and the initial directors, president, treasurer and clerk or other presiding, financial or recording officers, whose names are set out on the following page, have been duly elected. **If there are no provisions, state “None”. Note: The preceding four (4) articles are considered to be permanent and may only be changed by filing appropriate Articles of Amendment.

ARTICLE VI
The effective date of organization of the corporation shall be the date approved and filed by the Secretary of the Commonwealth. If a later effective date is desired, specify such date which shall not be more than thirty days after the date of filing.
ARTICLE VII
The information contained in Article VII is not a permanent part of the Articles of Organization.
